Operated by Breakwire LLC Effective Date: July 1, 2026 These Terms of Service ("Terms") govern your access to and use of InspoPlate, including our mobile applications, website located at inspoplate.com, and related services (collectively, the "Services"), operated by Breakwire LLC ("we," "us," or "our"). By creating an account, accessing, or using InspoPlate, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services. ─────────────────────────────────────── 1. ELIGIBILITY You must be at least 13 years old to use InspoPlate. If you are under 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using InspoPlate, you represent and warrant that you meet these eligibility requirements. ─────────────────────────────────────── 2. ACCOUNTS Certain features of InspoPlate require account registration. You agree to: • Provide accurate, current, and complete registration information • Maintain and update your information as necessary • Keep your password and account credentials confidential • Notify us immediately of unauthorized account activity • Accept responsibility for all activity under your account We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate or misleading information. ─────────────────────────────────────── 3. SUBSCRIPTIONS & PAYMENTS InspoPlate may offer free and paid subscription plans. By purchasing a subscription, you agree to the following: a) Billing Subscription fees are billed in advance on a recurring basis, either monthly or annually depending on your selected plan. You authorize Breakwire LLC and/or our payment processors to charge your selected payment method automatically. b) Automatic Renewal Paid subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Renewal charges will occur automatically unless canceled through your account settings or the applicable app marketplace. c) Cancellation You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle. We do not provide refunds or credits for partial billing periods unless required by applicable law. d) Digital Services InspoPlate is a digital subscription service that provides access to AI-powered recipe generation tools, meal planning features, grocery list generation, nutritional estimates, and related functionality. Subscription fees are charged for access to the platform and its features. Access to the paid features of the Service constitutes delivery of the purchased digital service. e) No Guaranteed Results Because content is generated dynamically and may vary based on user inputs, preferences, available data, and artificial intelligence systems, Breakwire LLC does not guarantee any particular recipe, recommendation, meal plan, nutritional estimate, ingredient substitution, outcome, result, or level of user satisfaction. Dissatisfaction with individual AI-generated outputs, recommendations, or generated content does not constitute a defect, malfunction, or failure of the Service. f) Price Changes We reserve the right to change subscription pricing at any time. Reasonable advance notice will be provided before price changes take effect. Continued use of paid services after a pricing change constitutes acceptance of the new pricing. g) Stripe Payments Payments made through our website may be processed by Stripe, Inc. Payment processing is governed by Stripe's terms and privacy policies. We do not store complete payment card information on our servers. h) Apple App Store & Google Play Purchases If you purchase subscriptions through Apple App Store or Google Play, those purchases are governed by the respective platform's terms and billing policies. Refund requests for App Store purchases must be submitted directly to Apple or Google. i) Free Trials If a free trial is offered, billing will begin automatically once the trial period ends unless canceled beforehand. j) Chargebacks and Payment Disputes If you believe a billing error has occurred, you agree to contact Breakwire LLC before initiating a chargeback or payment dispute so that we may investigate and attempt to resolve the issue. Breakwire LLC reserves the right to provide evidence of account access, subscription activity, acceptance of these Terms, and usage of the Service in response to any payment dispute or chargeback claim. ─────────────────────────────────────── 4. AI-GENERATED CONTENT Some content available through InspoPlate may be generated using artificial intelligence or automated systems, including: • Recipes • Nutritional estimates • Grocery lists • Meal suggestions • Plating ideas • Cooking recommendations • Ingredient substitutions • Food inspiration content AI-generated content is provided for informational and entertainment purposes only. Because content is generated automatically by artificial intelligence, outputs may vary between users and requests and may contain inaccuracies, omissions, incomplete information, inconsistencies, or recommendations that are not suitable for every individual, dietary restriction, allergy, health condition, cooking skill level, ingredient availability, or personal preference. Users are solely responsible for reviewing, evaluating, and verifying all generated content before relying upon it. Breakwire LLC does not guarantee the accuracy, completeness, reliability, suitability, availability, quality, fitness for a particular purpose, culinary success, nutritional accuracy, or safety of any AI-generated content. Nutritional estimates, calorie counts, macros, serving sizes, ingredient substitutions, cooking times, preparation methods, and dietary recommendations are estimates only and should not be relied upon as professional medical, nutritional, dietary, or food safety advice. Users acknowledge that AI-generated content may not always meet their expectations and that variations in generated results, recipe quality, ingredient recommendations, or user satisfaction do not constitute a defect, malfunction, or failure of the Service. The Service provides access to AI-powered content generation tools and related functionality. Subscription fees are charged for access to these tools and features and not for any guaranteed recipe, recommendation, result, outcome, or level of satisfaction. ─────────────────────────────────────── 5. NUTRITION & HEALTH DISCLAIMER Content provided through InspoPlate is intended for informational and entertainment purposes only. InspoPlate is not a medical, nutritional, dietary, or healthcare service and does not provide professional advice. Nutritional estimates, calorie counts, macros, ingredient information, and dietary recommendations may not be accurate. Users are responsible for: • Verifying ingredients • Reviewing allergen information • Ensuring food safety • Confirming dietary compatibility • Consulting qualified healthcare professionals regarding dietary or medical concerns Always seek professional medical advice for health-related decisions. ─────────────────────────────────────── 6. USER-GENERATED CONTENT & COMMUNITY GUIDELINES By uploading photos, reviews, comments, or other content ("User Content") to InspoPlate, you agree to the following: a) Appropriate Content You may only upload content that is suitable for a general audience. User Content must not include: • Nudity or sexually explicit material • Violence or graphic content • Hate speech or harassment • Illegal activities • Offensive, abusive, or discriminatory material • Spam or misleading content • Copyrighted material you do not own or have permission to use InspoPlate is intended to remain a welcoming, family-friendly cooking community. b) Photos of Children If you upload photographs containing minors, you represent and warrant that: • You are the child's parent or legal guardian; or • You have obtained permission from the child's parent or legal guardian to share the image. You are solely responsible for any photographs you upload. c) License By uploading content, you grant InspoPlate a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute your content solely for operating, promoting, and improving the Service. Ownership of your content remains yours. d) Moderation InspoPlate reserves the right, at its sole discretion, to: • Remove any content • Hide any content • Refuse publication • Suspend accounts • Permanently terminate accounts if content violates these Terms or may harm the reputation, safety, integrity, or community standards of InspoPlate. Removal decisions may be made without prior notice. e) No Obligation to Monitor Although InspoPlate may review or moderate User Content, we are not obligated to monitor all content uploaded to the Service and cannot guarantee that all inappropriate content will be removed immediately. ─────────────────────────────────────── 7. PROHIBITED CONDUCT You agree not to: • Use InspoPlate for unlawful purposes • Violate any applicable laws or regulations • Attempt unauthorized access to systems or accounts • Reverse engineer, decompile, or disassemble the Services • Use bots, scrapers, crawlers, or automated systems • Interfere with system functionality or security • Upload viruses or malicious code • Impersonate another person or entity • Resell or commercially exploit the Services without written permission • Abuse, harass, or threaten other users ─────────────────────────────────────── 8. INTELLECTUAL PROPERTY All content, trademarks, logos, software, features, functionality, designs, and technology associated with InspoPlate are owned by Breakwire LLC or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use InspoPlate for personal, non-commercial purposes. You may not copy, distribute, modify, sell, or exploit any portion of the Services without written authorization. ─────────────────────────────────────── 9. THIRD-PARTY SERVICES InspoPlate may integrate with or link to third-party services including payment processors, analytics tools, app marketplaces, and external websites. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services or their practices. ─────────────────────────────────────── 10. SERVICE AVAILABILITY We do not guarantee that InspoPlate will always be available, uninterrupted, secure, or error-free. Features, functionality, or portions of the Services may be modified, suspended, or discontinued at any time without notice. ─────────────────────────────────────── 11. DISCLAIMER OF WARRANTIES InspoPlate is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. To the fullest extent permitted by law, Breakwire LLC disclaims all warranties including: • Merchantability • Fitness for a particular purpose • Non-infringement • Accuracy • Reliability • Availability We do not guarantee that the Services will be uninterrupted, secure, error-free, or free from harmful components. ─────────────────────────────────────── 12. LIMITATION OF LIABILITY To the fullest extent permitted by law, Breakwire LLC and its affiliates, officers, employees, contractors, licensors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, or business interruption. Our total liability for any claims relating to the Services shall not exceed the greater of: • The amount paid by you to us during the twelve (12) months preceding the claim, or • One hundred U.S. dollars ($100) ─────────────────────────────────────── 13. TERMINATION We reserve the right to suspend or terminate access to InspoPlate at any time, with or without notice, for any reason. Upon termination, your right to use the Services immediately ceases. GOVERNING LAW & DISPUTE RESOLUTION These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms or your use of InspoPlate shall be resolved through binding arbitration in Miami-Dade County, Florida under the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction when necessary. You waive any right to participate in class-action lawsuits or class-wide arbitration. ─────────────────────────────────────── 17. CALIFORNIA CONSUMER RIGHTS California residents may have additional rights under applicable California privacy laws. CHANGES TO THESE TERMS We may update these Terms periodically. When material changes occur, we may notify users through the App, website, email, or updated Effective Date.
